Rebor B.V. General Terms and Conditions

Rebor B.V. is registered in Amsterdam with the Dutch Chamber of Commerce under registration number KvK 14091885.

1. Applicability

These terms and conditions apply to all offers, agreements, and deliveries by Rebor B.V., unless expressly agreed otherwise in writing. Deviating terms proposed by the client are explicitly rejected.

2. Agreements & Payment

• An agreement is established once Rebor B.V. has issued an invoice and this invoice has been paid in full by the client within the specified term.
• Delivery takes place only after full advance payment of the invoice. No alternative payment methods are offered.
• Payments must be made without deduction or set-off.

3. Offers & Prices

• All prices apply solely to the specifically offered products or services and are exclusive of additional costs, unless otherwise stated.
• Rebor B.V. reserves the right to adjust prices in the event of external changes, such as transport costs or raw material prices.
• In the event of obvious errors in pricing or product information, Rebor B.V. may cancel orders and refund any payments already received.

4. Delivery, Risk & Force Majeure

• Delivery times are indicative and non-binding.
• Risk transfers to business customers (B2B) at the moment of transfer to the carrier or upon leaving the warehouse.
• For consumers (B2C), risk transfers upon actual delivery.
• In the event of force majeure, such as transport issues or supplier delays, obligations are suspended or may be partially dissolved.

5. Specific Provisions for Loci Projects

• The client is required to always provide a complete and up-to-date AutoCAD drawing for Loci projects.
• The definitive drawing provided by the client will always be binding for execution.
• The client must communicate any changes in a timely and written manner. Rebor B.V. is not obliged to compare drawings independently to identify modifications.
• Any costs arising from failure to communicate changes, or from practical deviations that are not in accordance with the drawing, are entirely at the client’s expense.

6. Returns & Refund Policy

• B2C (consumers): 14-day right of withdrawal from receipt, provided the product is unused and in its original packaging.
• B2B (business customers): Returns are only accepted with prior written approval (RMA). No statutory right of withdrawal applies.
• Exclusions: Lithium-(ion) batteries and ESS, customized solutions, and discounted items cannot be returned.
• Return shipments are at the risk and expense of the customer.
• Refunds are processed within 14 days after an approved return, but we may withhold payment until the goods have been received or proof of return is provided.
• In practice, we apply a processing time of approximately 5 working days after receipt of the return shipment.

7. Shipping Policy

• All goods must be checked immediately upon receipt for quantity and damage.
• Any discrepancies or transport damage must be reported within 2 working days in writing and with photo evidence.
• If the customer is not present at delivery and goods are left behind, this is entirely at the customer’s risk.
• If special unloading facilities (such as a tail lift) are required, the customer must notify us in advance. Additional costs arising from the absence of such arrangements are borne by the customer.

8. Warranty & Liability

• Warranty is granted solely by the manufacturer of the product. Rebor B.V. is not an intermediary and does not guarantee replacement beyond the manufacturer’s warranty.
• Rebor B.V. is only liable for direct damage caused by intent or gross negligence, up to a maximum of the invoice value of the specific delivery.
• Indirect or consequential damages are excluded, except where mandatory consumer rights apply.

9. Retention of Title

All delivered goods remain the property of Rebor B.V. until full payment has been received.

10. Governing Law & Disputes

• All agreements are exclusively governed by Dutch law.
• Disputes will be submitted to the competent court in Amsterdam, without prejudice to statutory consumer rights.
